These Terms and Conditions outline the rules and regulations for the use of Linkspire’s website, located at https://linkspire.ai.

These terms (“Terms”) govern your access to and use of the Linkspire platform at https://linkspire.ai (“Platform”), including the services offered on or through the Platform (“Services”). These Terms include our Privacy Policy, available at https://linkspire.ai/privacy-policy (“Privacy Policy”), and any additional guidelines, terms, policies, or disclaimers issued by us periodically.

By using the Services, you agree to these Terms, forming a binding legal contract between you and Linkspire, Inc. and its affiliates (“Linkspire,” “we,” “us,” or “our”). If you do not agree with these Terms, please do not use the Services.

By accessing the Services, you confirm that:

You are at least 18 years old and have the legal capacity to agree to these Terms.
If representing an organization or legal entity, you have the authority to bind it to these Terms.

1. Service

(a) The Platform functions as a lead generation tool that enables registered users (“Customers”) to find prospective leads via Twitter through our web-based dashboard (“Dashboard”).

(b) The Platform will send notifications to registered users when new leads are discovered.

2. Registration

(a) Registration Process
To use the Services, you must register by providing an email address, password, and additional details (“Registered Profile”). It is your responsibility to ensure that this information is accurate and kept up-to-date.

(b) Security
You are solely responsible for maintaining the confidentiality of your login credentials and for all activities under your Registered Profile. Notify us immediately if you detect unauthorized use of your profile.

(c) Content Rules
You may not use any username that impersonates another person, violates legal rights, or contains offensive language. You agree to be accountable for all actions that occur under your account.

(d) Communications
By registering, you agree to receive communications from Linkspire about your account, Services, promotions, newsletters, and marketing. You can opt out by following the unsubscribe instructions or emailing us.

3. Free Trial

(a) At our discretion, we may offer a Free Trial, allowing temporary use of the Services without charge. To access the Free Trial, you may need to provide billing information, but you will not be charged until the trial period expires.

(b) Transition to Payment
At the end of the Free Trial, unless you cancel, you will be automatically enrolled in a subscription-based payment plan (“Payment Plan”). We reserve the right to modify or cancel the Free Trial at any time.

4. Payment Plan

(a) Subscription Billing
If you continue using the Platform after the Free Trial, you agree to pay for the Services on a subscription basis according to the Payment Plan, with billing cycles either monthly or annually, as chosen during registration.

(b) Auto-Renewal
Your subscription will automatically renew unless cancelled. You can cancel via your account management page or by contacting our support team.

(c) Billing Failures
If automatic billing fails, you will be required to manually complete the payment. Failure to do so within 30 days may result in termination of access to the Platform.

(d) Refunds and Cancellations
Payments are non-refundable and non-cancellable. We reserve the right to revise payment terms with advance notice.

(e) Taxes
Applicable taxes will be added to the invoiced amounts.

(f) Payment Information
You are responsible for providing accurate payment information, and by doing so, you authorize us to charge your selected payment method for recurring payments. We are not liable for any errors by third-party payment processors.

5. User Content

(a) The Platform enables users to view, post, and share content such as messages, announcements, events, and data (“Content”).

(b) By posting Content, you grant us a non-exclusive, worldwide, perpetual, irrevocable, sublicensable, and royalty-free license to use, display, modify, and adapt your Content for the Platform’s operation and promotional activities. This includes machine learning capabilities on the Platform.

(c) Content Monitoring
We reserve the right to monitor and manage Content on the Platform but are not obligated to do so.

6. Consent to Use Data

(a) By using the Platform, you agree to our collection and use of your data as described in our Privacy Policy.

(b) You consent to us sharing your data with affiliates and third-party service providers.

(c) We may be required to disclose your data to law enforcement or government agencies in compliance with legal obligations.

7. Third-Party Services

(a) The Platform may integrate third-party services, and the use of such services is subject to the terms of those providers. Your use of third-party services is at your own risk, and we are not responsible for any warranties or liabilities related to them.

8. Your Responsibilities

(a) In respect of Content, you represent and warrant that:

you own all intellectual property rights (or have obtained all necessary permissions) to provide Content and to grant the licences under these Terms;
you are solely responsible for the Content on and all activities that occur or through your use of the Platform;
the Content does not and shall not violate any of your obligations or responsibilities under other agreements;
the Content does not and shall not violate, infringe, or misappropriate any intellectual property right or other proprietary right;
the Content does not and shall not contain any viruses, corrupted data, or other harmful, disruptive, or destructive files or content; and
the Content shall not violate any third-party rights.

(b) You represent and warrant that all information that you provide in relation to the Service is complete, true, and correct on the date of agreeing to these Terms and shall continue to be complete, true, and correct while you use the Service. Should any information that you provide change during the existence of these Terms, you undertake to immediately bring such change to our notice. We do not accept any responsibility or liability for any loss or damage that you may suffer or incur if any information, documentation, material, or data provided to avail the Service is incorrect, incomplete, inaccurate, or misleading or if you fail to disclose any material fact.

(c) You shall extend all cooperation to us in our defense of any proceedings that may be initiated against us due to a breach of your obligations or covenants under these Terms.

(d) You shall not use the Service in any manner except as expressly permitted in these Terms. Without limiting the generality of the preceding sentence, you shall not:

infringe any proprietary rights, including but not limited to copyrights, patents, trademarks, or trade secrets, of any party;
except as may be provided hereunder, copy, display, distribute, modify, publish, reproduce, store, transmit, post, translate, create any derivative works from, or license the Service;
use the Service to transmit any data or send or upload any material that contains viruses, Trojan horses, worms, timebombs, keystroke loggers, spyware, adware, or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware;
use any robot, spider, other automated device, or manual process to monitor or copy the Service or any portion thereof;
use the Platform to transmit, or procure the sending of, any unsolicited advertising, promotional material, or commercial communication;
engage in the systematic retrieval of content from the Service to create or compile, directly or indirectly, a collection, compilation, database, or directory;
impersonate or attempt to impersonate Linkspire, a Linkspire employee, another user, or any other person or entity;
use the Service for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or in any way that infringes upon the rights of others;
use the Service in (A) any unlawful manner, (B) for fraudulent or malicious activities, or (C) in any manner inconsistent with these Terms;
violate applicable laws in any manner;
reproduce, redistribute, republish, duplicate, copy, display, sell, rent, sublicense, trade or resell any content or other aspect of the Platform for any commercial purpose (except for content specifically and expressly made available for such purpose);
use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party’s use of Service, including their ability to engage in real-time activities through Service; or
take any action that may damage or falsify the Company's rating.

(e) You warrant that you shall not engage in any activity that interferes with or disrupts the Service.

(f) You shall not attempt to gain unauthorised access to any portion or feature of the Service, any other systems or networks connected to the Service, to any of our servers, or through the Platform, by hacking, password mining, or any other illegitimate means.

(g) You shall obtain and maintain at your own expense all the necessary computer hardware, software, modems, connections to the internet, and other items required for access to and use of the Platform.

(h) You agree to upgrade your facilities and systems for smooth access to the Platform as and when required in order to be compatible with the upgraded version of the Platform, if any.

(i) You shall regularly and independently save, back up, and archive your Content and any and all information that you may create or process in connection with your use of the Platform.

(j) You are aware of applicable laws and regulations governing your use of the Platform. You shall be solely responsible for ensuring compliance with the various applicable laws, and you shall be solely liable for any liability that may arise due to a breach of your obligations in this regard.

9. Linking Features

(a) This Platform contains links to other Internet sites owned by third parties. These links are provided for your convenience only. Your use of each of those sites is subject to the terms of use, if any, that each of those sites has posted.

(b) We have not reviewed all the sites linked to the Platform and are not responsible for any changes to or content on them. We have no control over the content of those sites or resources, and we accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to the Platform, you do so entirely at your own risk and subject to the terms and conditions of use for such websites. Our inclusion of any content is not an endorsement of that material or linked site or the companies that own or operate the material or linked sites.

link your own profile registered with certain third-party platforms to your profile on the Platform;
send messages or other communications with certain content, or links to certain content, on the Platform; and/or
cause limited portions of content on the Platform to be displayed or appear to be displayed on your profile registered with certain third-party platforms. You may use these features solely as they are provided by us.

Subject to the foregoing, you must not:

establish a link from a profile registered with any third party platform that is not owned or registered by you;
cause the Platform or portions of it to be displayed, or appear to be displayed by, for example, framing, deep linking or in-line linking, on any other site without our consent; or
otherwise take any action with respect to the materials on the Platform that is inconsistent with any other provision of these Terms.

(d) We may disable or modify all or any features and any links at any time without notice in our discretion. Linkspire is not responsible or liable in case of banning of the user’s account due to the activities executed by the user.

10. Intellectual Property

The Platform, along with its content, features, logos, and other proprietary aspects, is protected by intellectual property laws.
All rights to the Service, including its intellectual property, belong to or are licensed by the company.
Users do not gain ownership of the Platform or any content, except for certain rights in user-submitted content.
Any feedback given to the company may be freely used without restriction.

11. Term and Termination

The Terms remain in effect until terminated.
The company may terminate access for reasons including violation of terms, cessation of use, or legal/regulatory reasons.
Users may terminate their account by notifying the company 15 days in advance.
Upon termination, user access to the service and their profile will expire, with certain terms surviving post-termination.

12. Disclaimers and Warranties

The Service is provided "as is" without warranties, including implied ones.
The company is not liable for issues such as defects, interruptions, data loss, or availability problems in the Service.

13. Indemnity

Users must indemnify the company for any claims, losses, or damages arising from their use of the Service or violation of the Terms.

14. Limitation of Liability

The company is not liable for direct or indirect damages, including lost profits or data, related to the use or inability to use the Service.

15. Modification

The company reserves the right to modify, add, or discontinue the Service at any time.
Access to certain parts of the Service may be restricted periodically.

16. Jurisdiction, Governing Laws, and Dispute Resolution

The Terms are governed by Indian law.
Disputes are to be resolved through arbitration under JAMS International Arbitration Rules, with arbitration conducted in India in English.

17. Grievance Redressal

Users can contact the designated Grievance Officer for complaints related to the Service.
The company ensures resolution within legal timelines.

18. Miscellaneous Provisions

Changes to Terms: The company can revise the Terms at any time, with updates effective immediately upon posting.
Severability: Unenforceable provisions will be modified or removed, with the rest of the Terms remaining effective.
Assignment: Users cannot transfer rights without consent; the company may assign its rights freely.
Notices: Notices to the company should be sent via email.
Third-Party Rights: No third-party rights are conferred by the Terms.
Force Majeure: The company is not liable for events beyond its control, such as natural disasters or compliance with laws.
Acknowledgement: By using the Service, users agree to the Terms.
